Article 1. Name

1.1 The society shall officially be called the Canadian Society for the Study of Rhetoric / La Sociéte Canadienne pour l’Étude de la Rhétorique, abbreviated as CSSR / SCÉR.

1.2 The society’s informal alias and alternative abbreviation is RhetCanada (and/or RhétCanada).

1.3 The society’s scholarly journal name shall be “Rhetor,” or alternatively, “Rhetor: Journal of the Canadian Society for the Study of Rhetoric.”

Constitution de la SCÉR

Article 1. Nom

1.1 La Société sera officiellement appelée la Société Canadienne pour l’Étude de la Rhétorique, abrégée SCÉR.

1.2 L’alias informel de la société et son abréviation est RhetCanada (et/ou RhétCanada).

1.3 Le nom de la revue scientifique de la société sera “Rhetor” ou, alternativement, “Rhetor : Revue de la Société Canadienne pour l’Étude de la Rhétorique”.

Article 2. Purpose

The purpose of this Society shall be to promote the study of the theory and practice of rhetoric in all periods and languages, and its relationships with poetics, philosophy, politics, religion, law, and other aspects of the cultural context. The official languages of the Society shall be French and English.

Article 2. But

Le but de la société est de promouvoir l’étude de la rhétorique, de sa pratique comme de sa théorie. Il s’agit d’étudier les rapports qu’entretient la rhétorique avec la poésie, la philosophie, la politique, la religion, le droit et d’examiner sa place dans le champ culturel, à toutes les époques et dans toutes les langues. Les langues officielles de la société sont l’anglais et le français.

Article 3. Membership

3.1 The following may become members of this society: persons involved in the teaching of and research in aspects of rhetoric or any other person subscribing to the aims and purpose of this society.

3.2 Membership shall be renewed annually and shall follow upon receipt of a properly completed application and payment of annual dues.

3.3 The personal liability of all members is limited to the amount of their annual subscription, which amount shall be set at a meeting of the general membership.

3.4 Members shall be eligible to vote at the Annual General Meeting. If a paid-up member attending the conference cannot attend the meeting, he/she may authorize a proxy vote. Authorization of the substitution must be confirmed by consultation with a member of the Executive Committee.

Article 3. Membres

3.1 Peut devenir membre de la société toute personne engagée dans l’enseignement et la recherche de l’une ou l’autre des branches de la rhétorique ou toute personne qui souscrit aux buts et objectifs de la société.

3.2 Les membres doivent renouveler leur adhésion chaque année en remplissant une demande d’adhésion et en payant la cotisation requise.

3.3 La responsabilité personnelle des membres se limite au versement de leur cotisation, dont le montant est fixé par l’assemblée générale des membres.

3.4 Tous les membres peuvent voter à l’Assemblée générale annuelle. Si un membre qui a payé sa cotisation assiste au congrès annuel sans pouvoir assister à l’assemblée, il/elle peut déléguer son vote par procuration. Laquelle doit faire l’objet d’une confirmation auprès d’un membre du comité de direction.

Article 4. Governance

Article 4.1. Executive Committee

4.1.1 There shall be an Executive Committee of the Society which shall, subject to the plenary power of the general meeting of members, manage the affairs of the Society between meetings of members.

4.1.2 The membership of the Executive Committee shall consist of the President, the Past President, the Vice-President, the Secretary-Treasurer, the Member-at-Large, the Student Member, the Editor (ex officio, non-voting), and the Webmaster (ex officio, non-voting).

4.1.2.1 All terms of service on the Executive Committee shall be two years, except for the Member-at-Large, which shall be one year. After serving a term, a member may stand for re-election to the same role.

4.1.2.2 Any single member on the Executive Committee may serve as Editor (non-voting) or Webmaster (non-voting) while concurrently serving in another Executive Committee role. A single person shall not serve in more than two voting roles on the executive at any one time, and each person on the executive shall have only one vote in executive decisions.

4.1.2.3 The executive committee of the society should reflect the linguistic, ethnic and regional diversity of Canada, gender diversity, as well as the organization’s bilingual status and international membership.

4.1.2.4 Each member of the executive committee should hold at least a master’s degree and should not be students while serving in their roles.

President

4.1.3 The President shall preside at all meetings of the society, and represent its interests in the academic community. In consultation with the Executive Committee and the Advisory Board, the President shall arrange the program for the annual conference and meeting of members. In consultation with the Secretary-Treasurer, the President shall determine the agenda for the Annual General Meeting.

4.1.3.1 Candidates for President are typically nominated to the Slate from the current executive committee. Any member of the Society with a minimum of 2 years experience on the Executive Committee (i.e. 2 years as Secretary-Treasurer or Vice President) may be eligible to be nominated for President.

4.1.3.2 Upon completion of his/her term as President, he/she will serve two years as Past President.

Past-President

4.1.4 The Past President shall be the retiring president and shall serve a term of two years. He/she shall have the duty of being a resource person for the new president. He/she shall have no voting powers on the Executive Committee.

Vice-president

4.1.5 The Vice-President shall perform the functions of the President in the absence or incapacity of that officer. He/she, as needed, shall undertake initiatives to publicize the society and to recruit new members, and shall send such materials as a poster, brochure, and call for papers to people who may be interested in the affairs of the society.

4.1.5.1 Candidates for Vice-President are typically nominated to the Slate from the current executive committee. Any member of the Society with a minimum of 2 years experience on the Executive Committee may be nominated for Vice-President.

Secretary-Treasurer

4.1.6 The Secretary-Treasurer shall manage the finances of the society, keep the books and membership lists, and record the minutes of meetings for the Executive Committee and the members. He/she shall present a financial statement at the Annual General Meeting. Because of the complexity of working with Canadian financial institutions across international borders, non-Canadian members of the Society are discouraged from seeking this office.

4.1.6.1 Candidates for Secretary-Treasurer are typically nominated to the Slate from the body of members who have previously served a minimum of 2 years in any role or committee of the organization (such as Member-at-Large, Advisory Committee member).

Editor

4.1.7 The Editor of Rhetor, the journal of the society, will work with the Editorial Board to manage the contents of all Rhetor issues (including any special issues or sections), their review processes, production processes and timelines. The journal will be issued at least once every two years. At his/her discretion, the editor may work with the Editorial Board to commission or approve a proposal for special sections or special issues of the journal which will increase the publication schedule of Rhetor.

4.1.7.1 The Editor of Rhetor is eligible to stand for election or re-election if he/she has previously been a paid member in good standing with the society for at least 5 years with a record of at least 2 years in service or leadership roles within the society. In the past, leadership as President has provided editors with experience and networks necessary to cultivate the journal; past presidents are encouraged to seek the position. The Editor will be a published scholar in the field of rhetorical studies. It is recommended that the Editor concurrently serve in a full time academic position at a college or university and hold tenure in that position. Where possible, candidates may seek support for editorial assistants from their home college or university (whether paid or as internship opportunities). Over time, the editorship of Rhetor should reflect the linguistic, ethnic and regional diversity of Canada.

4.1.7.2 The Editor shall be ex-officio a non-voting member of the Executive Committee. The Editor may also hold concurrently another executive office (e.g. Vice-President, Secretary, etc.) which confers on him/her a voting right during the aforementioned period.

Webmaster

4.1.8 The Webmaster shall work with members of the Executive Committee to ensure that the website meets the communication and archiving needs of the organization and that the website and any related social media accounts and online applications are well managed, backed up, and secure. Where possible, candidates may seek support for assistants from their home college or university (whether paid or as internship opportunities); he/she will oversee any assistants needed to manage the workload.

4.1.8.1 The Webmaster is eligible to stand for election or re-election if he/she has been a member in good standing for at least 2 years and has served at least 1 year in any leadership or committee roles. She/he must also have appropriate technical expertise.

4.1.8.2 The Webmaster shall be ex-officio a non-voting member of the Executive Committee. The Webmaster may also hold concurrently another executive office (e.g. Vice-President, Secretary, etc.) which confers on him/her a voting right during the aforementioned period.

Member at Large

4.1.9 The Member-at-Large shall be elected at the Annual General Meeting for a term of one year and may serve for up to three consecutive terms. He or she shall perform duties as directed by the Executive.

4.1.9.1 The Member-at-Large is eligible to stand for election or re-election if they are currently a member in good standing.

Student Member

4.1.10 The Student Member shall be elected at the Annual General Meeting for a term of one year.

4.1.10.1 The Student Member shall be actively enrolled in any graduate university program at the time of election.

4.1.10.2 The Student Member is eligible to stand for election or re-election if they are currently a member in good standing.

Article 4.2. Advisory and Nomination Committees (Membership)

4.2.1 The Advisory Committee shall consist of five persons, two of whom shall be elected for a two-year term at the Annual General Meeting, and two of whom shall be completing their two year term. The fifth person shall be a graduate student elected at the Annual General Meeting for a one-year term. These members should represent as equitably as possible the various fields contributing to the study of rhetoric and at least one member shall be francophone or bilingual. This committee shall assist the President in determining the program for the annual conference by vetting the proposals of those wishing to present papers at the conference.

4.2.2 The Nomination Committee shall consist of the Executive Committee. The nomination committee will attempt to ensure the Executive Committee represents the organization’s diversity as outlined above in section 4.1.2.3. It is especially important to ensure that a francophone or bilingual member is on the Executive Committee, Editorial Board, and Advisory Committee if at all possible.

Article 4.3. Nomination Procedure

4.3.1 The Slate: Every two years, the Nominating Committee shall solicit suggestions from the membership for nominees to the positions of President, Vice-President, and Secretary-Treasurer. The Nominating Committee will identify a “slate” of candidates (for President, Vice-President, and Secretary-Treasurer) for presentation to the AGM for a vote. Criteria for construction and evaluation of the slate should include:

a. Appropriate mix of new and experienced leaders in the organization.

b. Appropriate mix of language expertise.

c. Appropriate mix of nationalities reflecting a bilingual, international organization, understanding the limitations that Canadian law places on the Treasurer and the complexities of planning our annual meeting with the Congress.

d. Appropriate seniority (as some scholars may not be able to manage early career tenure expectations while leading the organization). Typically, the slate will be constructed from members with appropriate leadership experience (enumerated in 4.1.3.1, 4.1.5.1, 4.1.6.1).

e. Appropriate mix of gender diversity

f. Appropriate mix of geographic and ethnic diversity reflecting the diversity of a Canadian organization

4.3.2 The Editor and Webmaster: Every two years, the Nominating Committee shall also solicit suggestions from the membership for nominees to the positions of Editor of Rhetor and Webmaster. These positions may be held concurrently with other positions in the organization.

4.3.3. Other Positions: Annually, the Nominating Committee shall solicit suggestions from the membership for Member-at-Large, the Student Member, and for membership on the Advisory Committee.

4.3.4. Process: The President or Past President of the society shall serve as the chair of all meetings of the nominating committee. The Nominating Committee will secure the agreement to stand of all nominated candidates and shall prepare a report for presentation to the AGM for vote.

4.3.5. Other nominations (outside the slate) from the floor of the AGM shall be considered constitutional if the nominee is present and agrees to stand or has made known that he/she would agree to stand.

Article 4. Direction

4.1. Comité de direction

4.1.1 La Société aura un comité exécutif qui, assujetti au plein pouvoir l’Assemblée Générale des membres, s’occupera des affaires de la Société entre les assemblées annuelles des membres.
4.1.2 Le Comité exécutif sera composé d’un Président / Présidente, de l’Ancien Président / Ancienne Présidente, d’un Vice-Président / Vice-Présidente, d’un / une Secrétaire-Trésorier, d’un / une Membre sans Attribution Spécifique, de l’Éditeur (ex officio, non votant) et du / de la Webmaster (ex offcio, non votant).

4.1.2.1 Toutes les charges au sein du comité exécutif auront une durée de deux ans, à l’exception du Membre sans Attribution Spécifique, qui officiera un an. Après un mandat, un / une membre peut se présenter pour être réélu à la même fonction.

4.1.2.2 Tout membre du Comité Exécutif peut officier comme Éditeur / Éditrice (non votant) ou Webmaster (non votant) tout en occupant une autre fonction au sein du Comité Exécutif. Une même personne ne peut officier dans plus de deux rôles votant au comité au même moment, et chaque membre votant a droit à un seul vote dans les décisions du comité.

4.1.2.3 Le Comité Exécutif de la Société doit refléter la diversité linguistique, ethnique et régionale du Canada, la diversité de genre, ainsi que le caractère bilingue de l’organisation et le caractère international de ses membres.

4.1.2.4 Chaque membre du Comité Exécutif doit être au moins titulaire d’un Master et ne peut être étudiant / étudiante durant un mandat.

Président / Présidente

4.1.3 Le Président / La Présidente présidera toutes les assemblées de la Société et représentera ses intérêts dans la communauté académique. En consultation avec le Comité Exécutif et le Comité Consultatif, le Président / La Présidente préparera le programme de la conférence annuelle et l’assemblée des membres. En consultation avec le / la Secrétaire-Trésorier, le Président / La Présidente établira l’ordre du jour de l’Assemblée Générale Annuelle.

4.1.3.1 Les candidats au poste de Président / Présidente sont habituellement nommés sur la liste par l’actuel Comité Exécutif. Tout membre de la Société avec un minimum de deux ans d’expérience dans le Comité Exécutif (c’est-à-dire deux ans comme Secrétaire-Trésorier ou Vice-Président) peut être éligible pour être nommé au poste de Président / Présidente.

4.1.3.2 Après avoir accompli sa charge de Président, le/la Président / Présidente officiera pendant deux ans en tant qu’Ancien Président / Ancienne Présidente.

Ancien Président/ Ancienne Présidente: sortante

4.1.4 L’Ancien Président / Ancienne Présidente sera le président / la présidente sortante et officiera pendant deux ans. Il / Elle aura la charge sera une personne de ressource pour le nouveau président. Il / Elle ne pourra pas voter au Comité Exécutif.

Vice Président / Vice-Présidente

4.1.5 Le Vice Président / La Vice-Présidente accomplira les fonctions du Président / de la Présidente en cas d’absence ou d’incapacité du Président / de la Présidente. Si nécessaire, Il / Elle prendra des initiatives pour faire connaître la Société et pour recruter de nouveaux membres et enverra des documents tels qu’affiches, brochures et appel à communication aux personnes qui pourraient être intéressées par les activités de la Société.

4.1.5.1 Les candidats / candidates pour le poste de Vice-Président / la Vice-Présidente sont habituellement nommé sur la Liste à partir du Comité Exécutif actuel. Tout membre de la Société avec un minimum de deux ans d’expérience dans le Comité Exécutif peut être nommé pour le poste de Vice-Président / Vice-Présidente.

Secrétaire-Trésorier

4.1.6 Le / La Secrétaire-Trésorier gèrera les finances de la Société, tiendra à jour les livres et les listes de membres, enregistrera les minutes des assemblées pour le Comité Exécutif et les membres. Il / Elle fera un bilan financier à l’Assemblée Générale Annuelle. En raison de la difficulté à travailler avec des institutions financières canadiennes au-delà des frontières, les membres non Canadiens de la Société ne sont pas incités à postuler pour cette fonction.

4.1.6.1 Les candidats au poste de Secrétaire-Trésorier sont généralement nommés sur la Liste parmi le corps des membres qui ont préalablement officié dans une fonction ou un comité de l’organisation (en tant que Membre sans Attribution Spécifique ou membre du Comité Consultatif)

Éditeur / Éditrice

4.1.7 L’Éditeur / Éditrice de “Rhetor”, la revue de la Société, travaillera avec le Comité Éditorial pour gérer les contenus de tous les numéros (y compris les sections ou les numéros spéciaux), le processus d’évaluation et de production, ainsi que les délais. La revue paraîtra au moins une fois tous deux ans. À discrétion, l’Éditeur/ Éditrice peut travailler avec le Comité Éditorial pour demander ou approuver une proposition de section ou de numéro spécial pour la revue qui viendra s’ajouter au planning de publication de “Rhetor”.

4.1.7.1 L’Éditeur / Éditrice de “Rhetor” est éligible pour se présenter à l’élection ou la réélection s’il / elle a été un membre en règle avec la Société pendant au moins cinq ans et a officié au moins deux ans dans l’un des rôles de la Société. Par le passé, la direction en tant que Président / Présidente a fourni aux éditeurs / éditrices l’expérience et les réseaux nécessaires pour entretenir la revue ; les anciens présidents sont donc encouragés à postuler pour cette position. L’Éditeur / Éditrice sera un chercheur ou académique ayant déjà publié dans le domaine des études rhétoriques. Il est recommandé que l’Éditeur/ Éditrice officie en même temps dans une université ou institution et dispose d’un mandat pour ce poste. Là où cela est possible, les candidats / candidates peuvent solliciter l’aide d’assistants éditoriaux / assistantes éditoriales de leur propre université ou institution (soit rémunérés soit en interne). Avec le temps, l’édition de “Rhetor” doit refléter la diversité linguistique, ethnique et régionale du Canada.

4.1.7.2 L’Éditeur / Éditrice sera un membre ex officio non votant du Comité Exécutif. L’Éditeur / Éditrice peut aussi exercer concurremment une autre charge dans le Comité Exécutif (par exemple, la Vice-Présidence, Secrétaire-Trésorier, etc.) qui lui confère le droit de voter durant la période susmentionnée.

Webmaster

4.1.8 Le / La Webmaster travaillera avec les membres du Comité Exécutif pour s’assurer que le site web de la Société rencontre les besoins en communication et en archivage de l’organisation et à ce que le site web, les comptes liés sur les réseaux sociaux et les applications en ligne soient bien gérées, mises à jour, sauvegardées et sécurisées. Là où cela est possible, les candidats / candidates pourront solliciter l’aide d’assistants / assistantes de leur propre université ou institution (soit rémunérés, soit en interne) ; il / elle supervisera tous les assistants / assistantes nécessaires requis pour la charge de travail.

4.1.8.1 Le / La Webmaster est éligible pour se présenter à l’élection ou la réélection s’il / elle a été un membre en règle de la Société pendant au moins deux ans et a officié pendant au moins un an dans l’un des rôles de la Société. Elle / il doit aussi avoir l’expertise technique requise.

4.1.8.2 Le / La Webmaster sera un membre ex officio non votant du Comité Exécutif. Le / La Webmaster peut aussi exercer concurremment une autre charge dans le Comité Exécutif (par exemple, la Vice-Présidence, Secrétaire-Trésorier, etc.) qui lui confère le droit de voter durant la période susmentionnée.

Membre sans Attribution Spécifique

4.1.9 Le / La Membre sans Attribution Spécifique sera élu par l’Assemblée Générale Annuelle pour une période d’un an et peut officier jusqu’à trois mandats consécutifs. Il / elle accomplira les tâches qui lui seront attribuées par le Comité Exécutif.

4.1.9.1 Le / La Membre sans Attribution Spécifique est éligible pour une élection ou une réélection s’il /elle est un membre en règle.

Article 4.2. Comité de consultation et de mises en candidature

4.2.1 Le comité de consultation se compose de cinq membres, deux étant élus pour un mandat de deux ans à l’assemblée générale annuelle, et deux poursuivant leur mandat de deux ans. La cinquième personne est un étudiant de deuxième ou troisième cycle élu lors de l’assemblée générale annuelle pour un mandat d’un an. Ces membres doivent représenter, aussi équitablement que possible, les divers champs qui composent l’étude de la rhétorique. Il doit y avoir au moins un membre francophone ou bilingue. Ce comité aide le Président à déterminer le programme pour l’assemblée générale annuelle en approuvant les propositions de communication pour le congrès.

4.2.2 Le Comité de nomination sera le Comité Exécutif. Le Comité de nomination essayera de s’assurer que le Comité Exécutif représente la diversité de l’organisation telle que décrite dans la section 4.1.2.3. Il est particulièrement important de s’assurer qu’un / une membre francophone ou bilingue soit dans le Comité Exécutif, le Comité Éditorial et le Comité Consultatif si c’est possible.

Article 4.3. Procédure de mise en candidature

4.3.1 La liste des candidats / candidates : tous les deux ans, le Comité de Nomination devra solliciter de la part des membres des propositions de nominations pour le poste de Président, Vice-Président, Secrétaire-Trésorier. Le Comité de Nomination devra établir une liste de candidats / candidates (pour le poste de Président, Vice-Président, Secrétaire-Trésorier) pour soumission au vote de l’Assemblée Générale Annuelle. Les critères pour l’établissement et l’évaluation de la liste devront inclure :

a. Un mélange approximatif de nouveaux / nouvelles et d’anciens / anciennes membres éminents de l’organisation.

b. Un mélange approximatif d’expertise linguistique.

c. Un mélange approximatif de nationalités reflétant une organisation bilingue et internationale, moyennant les limitations que la loi Canadienne impose pour le / la Secrétaire-Trésorier et les complexités de la préparation de la conférence annuelle avec le Congrès.

d. Une limite d’âge appropriée (comme certains / certaines académiques ne peut gérer les attentes d’un mandat en début de carrière tout en dirigeant l’organisation). Généralement, la liste sera constituée de membres ayant une expérience appropriée (détaillée aux points 4.1.3.1, 4.1.5.1, 4.1.6.1).

e. Un mélange approximatif de la diversité de genre.

f. Un mélange approximatif de la diversité ethnique et géographique reflétant la diversité d’une organisation canadienne.

4.3.2. Pour l’Éditeur / l’Éditrice et le / la Webmaster : tous les deux ans, le Comité de Nomination sollicitera également de la part des membres des propositions de nominations pour les positions d’Éditeur / Éditrice et de Webmaster. Ces charges peuvent assumées concurremment avec d’autres positions dans l’organisation.

4.3.3. Pour les autres positions : annuellement, le Comité de Nomination sollicitera de la part des membres des propositions de nominations pour les positions de Membre sans Attribution Spécifique et pour faire partie du Comité Consultatif.

4.3.4. Procédure : le Président / la Présidente et l’Ancien Président / Ancienne Présidente de la Société présideront toutes les réunions du Comité de Nomination. Le Comité de Nomination demandera l’accord pour concourir de tous les candidats / candidates nominés / nominées et préparera un rapport qui sera soumis au vote de l’Assemblée Générale Annuelle.

4.3.5. Les autres nominations (en dehors de la liste) émanant de l’Assemblée Générale Annuelle seront considérées comme constitutionnelles si la personne nominée est présente et accepte de concourir ou a fait savoir qu’elle serait d’accord pour concourir.

Article 5. Committees and Appointments

5.1 The Executive Committee and any general meeting of members are each empowered to establish from time to time such committees as may be deemed advisable and to appoint the membership thereof.

5.2 Local Liaison Representatives for future conferences will be decided at the Annual General Meetings. They have the responsibility of participating in the organization meetings of the Congress of the Canadian Federation of Social Sciences and Humanities for the following year. Normally, the local representative is nominated for a term of one year. Ideally these positions would be arranged for the following three years. The President will ask for volunteers for this duty, preferably residents of the city/cities chosen for the next conference(s), from the members present at the Annual General Meeting. If more than one person volunteers, one will be chosen by consensus at the meeting. If no local resident for the year immediately following is present, the President will research the general membership list for a representative or will consult the Congress Administrative Officer and Registrar and will, in consultation with the Executive, appoint a suitable substitute. Should neither of these measures succeed in securing a Local Liaison Representative, the President will assume that duty.

Article 5. Comités et postes

5.1 Le comité de direction et l’assemblée générale des membres ont le pouvoir de créer sporadiquement des comités, lorsqu’ils le jugent nécessaire, et d’en nommer les membres.

5.2 Les représentants locaux pour les congrès futurs sont désignés aux assemblées générales annuelles. Ils sont chargés de participer aux réunions d’organisation du Congrès de la Fédération Canadienne des Sciences Sociales et Humaines de l’année suivante. Normalement, le représentant local est nommé pour un mandat d’un an. L’idéal serait de combler ces postes pour les trois années à venir. Le Président sollicite des volontaires pour cette tâche, de préférence des résidents de la ville choisie/des villes choisies pour la prochaine conférence/les prochaines conférences, parmi les membres présents à l’assemblée générale annuelle. Si plus d’une personne se propose pour cette tâche, une d’elle sera choisie par consensus à la réunion. Si aucun résident pour l’année suivante n’est présent, le Président cherchera un représentant en consultant la liste générale des membres ou consultera l’Officier Administratif et Secrétaire Générale du Congrès et, en consultation avec le comité de direction, nommera un remplaçant apte au poste. Si aucune de ces mesures n’aboutit à nommer un représentant local, le Président assumera ce rôle.

 

Article 6. Meetings of Members

6.1 There normally shall be an annual conference.

6.2 The date and the place of the conference will be decided at the Annual General Meeting.

6.3 The general meeting, usually to take place concurrently with the annual conference of the society, shall be held once a year. A general meeting may also be called by a decision of the Executive Committee, or upon the request of at least 25% of the membership, but no meeting may be held unless all the members receive at least six weeks’ notice.

6.4 The agenda for meetings of members shall be distributed to the Executive Committee before the Annual General Meeting.

6.5 A quorum for meetings of members shall be 25% of the members attending the annual conference.

6.6 The procedures of Robert’s Rules of Order will be used to conduct annual general meetings.

6.7 Minutes shall be kept of all general meetings.

6.8 Online voting: For  matters arising during the period between two Annual General Meetings and requiring that a decision be made before the AGM can be held, a vote shall be conducted by email by the President. An email vote or ballot can also be conducted for matters raised at the AGM and needing further discussion, in which case the AGM will direct the President to conduct such a vote. The question shall be put to the membership at least one week before the vote, and a reminder shall be sent two days before the vote. The President shall be responsible for counting the votes. A quorum  of 25% of the membership is required.

Article 6. Réunions des membres

6.1 Il y aura normalement un congrès annuel.

6.2 La date et le lieu de ce congrès sont décidés lors de l’assemblée générale annuelle.

6.3 L’assemblée générale des membres a lieu une fois par an et coïncide habituellement avec le congrès annuel. Une assemblée générale peut également être convoquée par une résolution du comité de direction ou à la suite d’une requête d’un moins 25 % des membres. Cependant, aucune assemblée générale ne peut être tenue à moins que tous les membres aient été avisés au moins six (6) semaines à l’avance.

6.4 L’ordre du jour de l’assemblée générale annuelle doit être distribué aux membres avant la tenue de l’assemblée.

6.5 Le quorum de l’assemblée générale des membres est fixé à 25 % des membres présents au congrès annuel.

6.6 Le code de procédures Robert’s Rules of Order prévaut lors des assemblées générales.

6.7 Toutes les assemblées générales doivent faire l’objet d’un procès-verbal.

6.8 Vote en ligne: pour les questions qui surviendraient entre deux assemblées générales et qui nécessiteraient une décision avant qu’une nouvelle AG soit tenue, un vote par email peut être organisé par le Président. Un vote par email ou une consultation peuvent également être organisés pour des questions soulevées à l’AG qui nécessiteraient de plus amples discussions. Dans un tel cas, l’AG mandate le Président pour qu’il mette en place le vote. La question doit être soumise aux membres au moins une semaine avant le vote, et un rappel doit être envoyé une deux jours avant le vote. Le Président est responsable du comptage des votes. Un quorum de 25% des membres est requis.

Article 7. Amendment of the Constitution

The constitution may be amended by two-thirds of the members present and voting at the Annual General Meeting. The minimum six weeks written notice shall apply and members will be given six weeks to submit responses before the vote at the meeting.

Article 7. Modification des statuts

Les statuts peuvent être amendés par deux tiers des votes exprimés par les membres présents à l’assemblée générale ou par les deux tiers des votes exprimés par les membres lors d’un scrutin postal. Dans les deux cas, la règle de l’avis écrit minimum de six (6) semaines s’applique, et les membres ont six semaines (6) pour retourner leur bulletin de vote.
